Terms of Service

Vocalise is an online English tutoring service operated by TRAIANO Nistor ("Vocalise", "we", "us", or "our"). By accessing or using our website, applications, and services (collectively, the "Service"), you are entering into an agreement with TRAIANO Nistor.

By creating an account, booking a lesson, purchasing a subscription, or otherwise continuing to use the Service, you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you confirm that you have the authority to bind that organization. If you are using the Service as an individual, you confirm that you are of legal age to enter into a binding contract.

Vocalise provides live, one-on-one English lessons delivered over video, along with structured learning materials and related tools. Available tutors are assigned to your sessions. We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan or lessons you have purchased.

You must provide accurate information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree not to misuse the Service. In particular, you must not:

• use the Service for any unlawful, fraudulent, or abusive purpose;
• send spam, harass tutors or other users, or upload harmful content;
• infringe the intellectual property or other rights of any third party;
• interfere with or compromise the security of the Service, including through malware, probing, scraping, or unauthorized access; or
• resell, redistribute, or circumvent the technical limits of the Service.

The Service, including its software, curriculum, documentation, branding, and all related intellectual property, is and remains owned by TRAIANO Nistor or its licensors. Nothing in these terms transfers ownership of any of our intellectual property to you. Where you submit content, you grant us a limited license to host and process that content solely to provide the Service to you.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, currency, tax, renewal, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Subscriptions renew automatically for the interval you selected until cancelled. You may cancel at any time; access continues until the end of the current billing period.

We work hard to keep the Service running smoothly, but we do not guarantee that it will be uninterrupted, timely, secure, or error-free. To the fullest extent permitted by law, we disclaim all implied warranties, including those of merchantability and fitness for a particular purpose.

We may suspend or terminate your access to the Service in the event of a material breach of these terms, non-payment, a security or fraud risk, or repeated or serious policy violations. You may stop using the Service at any time. On termination, your right to use the Service ends, and we may delete your data in accordance with our Privacy Notice.

To the fullest extent permitted by law, TRAIANO Nistor will not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or goodwill. Our aggregate liability arising out of or relating to the Service is limited to the amount you paid us in the twelve months preceding the event giving rise to the claim. Nothing in these terms excludes liability for fraud, death, or personal injury where such exclusion is prohibited by law.

We may update these terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after the changes take effect constitutes acceptance of the updated terms.
